  • "Client," "You," or "Your" refers to the individual or entity using our Services.

  • "Deliverables" refers to logos, branding, and design materials created by Ecliptica Studio.

  • "Intellectual Property" refers to copyrights, trademarks, and proprietary rights in all designs and content.

  • "Design Process" refers to the creative methodologies, tools, and technologies we use to produce Deliverables.

2. SERVICES

Ecliptica Studio provides professional design services, including but not limited to:
✅ Logo design
✅ Business card design
✅ Brochure and flyer design
✅ Branding and visual identity

We reserve the right to refuse service for any reason, including requests that violate copyright laws or ethical standards.

Creative Process Disclaimer: Our studio utilizes a combination of advanced design tools, proprietary techniques, and technology-assisted workflows to ensure efficiency and quality. While all final Deliverables are carefully crafted to meet client needs, our production methods may integrate various industry-standard digital tools.

3. PAYMENT TERMS

  • Clients must make a non-refundable deposit before project commencement (amount specified per project).

  • Full payment is required before the final delivery of any design work.

  • All payments are processed securely through authorized payment gateways.

4. REFUND & CANCELLATION POLICY

  • Once work has commenced, deposits are non-refundable.

  • If a project is canceled after work has begun, the client may be responsible for payment based on work completed.

  • Refunds are not provided for completed design work unless otherwise agreed upon in writing.

5. REVISIONS & MODIFICATIONS

  • Each project includes a set number of free revisions (specified per project). Additional revisions may incur fees.

  • Revisions must be requested within 7 days of design submission. Late requests may be subject to additional fees.

  • Major modifications outside the original project scope may require additional charges.

6. INTELLECTUAL PROPERTY & COPYRIGHTS

  • Upon full payment, the final logo design is transferred to the client with exclusive rights to use it.

  • Ecliptica Studio retains the right to showcase all design work in our portfolio, marketing, and promotional materials unless otherwise agreed upon in writing.

  • We do not transfer ownership of raw project files (e.g., Photoshop, Illustrator files) unless purchased separately.

  • Clients are responsible for conducting trademark searches to ensure the uniqueness of their chosen logo.

7. CLIENT RESPONSIBILITIES

  • Clients must provide clear instructions, references, and timely feedback to ensure efficient project completion.

  • Any delays in communication may result in timeline extensions.

  • The client guarantees that any content provided (such as names, slogans, or images) does not infringe on third-party rights.

8. LIMITATION OF LIABILITY

  • Ecliptica Studio is not responsible for any indirect, incidental, or consequential damages arising from the use of our designs.

  • We do not guarantee trademark registration or legal clearance for any design.

  • In no event shall our liability exceed the total fees paid by the client.

9. CONFIDENTIALITY

  • Both parties agree to keep confidential information private and not disclose project details to third parties.

  • We may sign a Non-Disclosure Agreement (NDA) upon client request.

10. THIRD-PARTY RESOURCES

  • We may use licensed stock images, fonts, or third-party elements in designs. Clients are responsible for obtaining proper licenses if they wish to modify or use such assets beyond the agreed scope.

11. DESIGN METHODS & TECHNOLOGY USAGE

Ecliptica Studio leverages a combination of creative expertise, advanced design software, and modern digital tools to deliver high-quality results efficiently. Clients acknowledge that:

  • Our design process may include technology-assisted workflows, digital enhancements, or automation tools where applicable.

  • All final Deliverables are reviewed and refined by professional designers to ensure uniqueness and brand suitability.

  • The use of any tools or automation does not impact the originality, exclusivity, or quality of the Deliverables provided.

12. TERMINATION OF SERVICES

We reserve the right to terminate a project under the following conditions:
❌ Failure to make payment on time.
❌ Unreasonable delays in client communication (30+ days of inactivity).
❌ Violation of these Terms and Conditions.

13. CHANGES TO TERMS

Ecliptica Studio may update these Terms at any time. Changes will be posted on this page, and continued use of our Services implies acceptance of the updated Terms.

14. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the United Kingdom. Any disputes shall be resolved through arbitration or mediation before legal action is taken.
